Introduction
These Terms & Conditions ("Terms") apply to the website optindigital.in and to all services provided by Optin Digital, a partnership firm based at Regal Plaza, Indira Nagar, Lucknow, Uttar Pradesh, India ("Optin Digital", "we", "us" or "our").
By using our website, requesting a proposal, making a payment or using any of our services, you ("you", "the client") agree to these Terms. If you do not agree, please do not use our website or services. You must be at least 18 years old, or acting on behalf of a business, to purchase our services.
Our Services
Optin Digital provides digital marketing services including search engine optimisation (SEO), pay-per-click advertising on Google and Meta, social media marketing, website design and development, email marketing and content marketing. The exact work included for each client is described in the proposal, quotation or invoice shared with you ("Proposal").
If anything in a Proposal differs from these Terms, the Proposal will apply for that specific engagement.
Proposals and Scope of Work
- Every engagement begins with a written Proposal or quotation describing the services, deliverables, timelines and fees.
- Work outside the agreed scope, such as extra pages, additional campaigns or new features, will be quoted separately and started only after your approval.
- Prices shown on our website are starting prices for reference. Your final price depends on your requirements and is confirmed in the Proposal.
Payment Terms
- All prices are in Indian Rupees (INR). Applicable taxes, if any, are charged as per law and shown on the invoice.
- Monthly services (SEO, ads management, social media, email marketing) are billed in advance at the start of each billing cycle.
- One-time projects (such as websites) require an advance of 50% before work begins. The balance is payable before the website is launched or handed over, unless agreed otherwise in the Proposal.
- Payments can be made by bank transfer, UPI or through the secure online payment gateway on our website. We do not store your card or bank details; payments made online are processed by our payment gateway partner.
- An invoice or payment receipt is shared for every payment.
- If a payment is delayed, we may pause work until the due amount is cleared. Timelines will move accordingly.
Advertising Budgets and Third-Party Costs
- Advertising spend on Google, YouTube, Facebook, Instagram or other platforms is separate from our management fee. It is paid directly by you to the platform, or prepaid to us only where clearly agreed in writing.
- Domain names, hosting, premium themes, plugins, software subscriptions, stock images and similar third-party items are charged at actual cost or as quoted, and are subject to the third party's own terms.
Client Responsibilities
To help us deliver on time, you agree to:
- Share accurate information about your business, products and services.
- Provide content, images, logins, approvals and feedback on time.
- Ensure you have the legal right to use any material (logos, images, text, customer data) that you give us.
- Keep your account passwords secure and inform us if access needs to be changed.
- Make sure your business, offers and advertising comply with applicable laws and platform policies.
Service-Specific Terms
SEO Services
- Search rankings are controlled by search engines. We do not guarantee any specific position, traffic level or number of leads.
- SEO results usually build over three to six months and may change due to algorithm updates or competitor activity.
- We share a progress report every month.
Pay-Per-Click Advertising (Google & Meta Ads)
- Campaign approval, ad delivery and costs are decided by the advertising platforms, and are subject to their policies.
- We optimise campaigns to improve results but cannot guarantee a fixed number of leads or sales.
- Ad accounts are created in, or linked to, your business wherever possible so that you retain ownership.
Social Media Marketing
- Content is published according to the agreed plan, after your approval where approval is part of the plan.
- Growth in followers, reach and engagement depends on many factors and is not guaranteed.
- Login details you share are used only for the agreed work and kept confidential.
Website Design and Development
- The pages, features and number of revision rounds are as defined in the Proposal. Minor changes during the agreed revision rounds are included; major changes or new features are quoted separately.
- Delivery timelines depend on receiving content and feedback from you on time.
- Ownership of the website files passes to you once all payments are complete.
Email Marketing
- You confirm that every email address you provide has been collected with the recipient's permission.
- We follow good sending practices, but inbox placement is controlled by email providers and cannot be guaranteed.
Delivery, Delays and Complaints
- Timelines in a Proposal are our best estimate and may change if inputs, approvals or third-party platforms are delayed.
- If you are not satisfied with a deliverable, please tell us in writing within 7 days of receiving it. We will review the concern and fix or redo the work where it does not match the agreed scope.

Cancellations and Refunds
Cancellations and refunds are handled as described in our Refund & Cancellation Policy, which forms part of these Terms.
Intellectual Property
- All content on this website, including text, graphics, logos and design, belongs to Optin Digital unless stated otherwise, and may not be copied or reused without our written permission.
- Final deliverables created specifically for you become your property once full payment is received. Our internal tools, methods, templates and know-how remain ours.
- We may mention your business name or show non-confidential work in our portfolio, unless you ask us in writing not to.
Confidentiality
We keep your business information, data and account access confidential and use them only to deliver the agreed services. We expect you to keep our proposals, pricing and internal documents confidential as well.
Limitation of Liability
- Our services are provided with reasonable skill and care. We are not responsible for losses caused by factors outside our control, including search engine or platform changes, account suspensions by third parties, hosting failures or delays in information from you.
- We are not liable for indirect or consequential losses such as loss of profit, business or data.
- Our total liability for any claim is limited to the fees you paid us for the specific service in the month in which the claim arose.
Indemnity
You agree to compensate Optin Digital for any loss, claim or cost that arises because of material you provided, your breach of these Terms or your violation of any law or third-party right.
Use of This Website
You agree not to misuse this website, including attempting to gain unauthorised access, sending spam through our forms, copying content in bulk or interfering with the website's normal working. We may restrict access to anyone who does so. Your use of personal data on this website is covered by our Privacy Policy.
Changes to These Terms
We may update these Terms from time to time. The latest version will always be available on this page with the updated date. Changes do not affect work already confirmed in a signed Proposal.
Governing Law and Jurisdiction
These Terms are governed by the laws of India. Any dispute will first be discussed in good faith to find a solution. If it cannot be resolved, the courts at Lucknow, Uttar Pradesh shall have exclusive jurisdiction.
